Arcus announces agreement to acquire SK Pharma

London, 01 October 2026 – Arcus Infrastructure Partners (“Arcus”) is pleased to announce that Arcus European Infrastructure Fund 4 (“AEIF4” or the “Fund”) has entered into a definitive agreement to acquire SK Pharma Logistics GmbH (“SK Pharma” or the “Company”), a pure-play provider of logistics solutions to the healthcare industry in Germany, alongside the reinvesting management team. The selling shareholder group includes Syz Capital, Saturnus Capital and the founder, Stefan Krone.

Established in 2003 and headquartered in Bielefeld, Germany, SK Pharma operates a network of eight warehousing facilities in the Northwest of Germany, comprising c. 85,000 sqm and over 100k pallet positions of temperature-controlled storage capacity. The Company provides essential logistics infrastructure to a diversified customer base of pharmaceutical manufacturers, importers, wholesalers and other healthcare customers. The Company is deeply embedded as a critical supply chain partner to the pharmaceutical industry, providing modern GDP-/GMP-compliant distribution infrastructure and wide range of value-added services that create comprehensive regulatory, operational and digital integration with its customers.

Germany’s outsourced pharmaceutical logistics market demonstrates strong structural growth and is expected to benefit from ageing demographics, increasing outsourcing and rising integrity and compliance requirements in pharmaceutical supply chains. SK Pharma benefits from strong positioning in this attractive market, with a leading value proposition for customers supported by its specialised facility infrastructure, longstanding customer relationships, deep operating expertise, customer supply chain integration and regulatory approval requirements. The business has delivered significant growth, both organic and acquisitive, over the past decade, with concrete plans for further capacity growth and operational improvement in the near term.

Jordan Cott, Partner and Head of Logistics & Industrials at Arcus, commented: “SK Pharma is an ideal fit with our AEIF4 investment strategy, providing essential and highly regulated logistics infrastructure to the pharmaceutical industry. The Company is a rare example of an independent platform of scale in this market, established through over two decades of continuous growth together with a strong operational track record. We have followed the Company closely for several years and have high conviction in its long-term platform potential. In partnership with Frederik and his team, we will draw on Arcus’ experience investing in and building logistics infrastructure businesses to expand capacity, enhance the service offering and pursue selective acquisitions, while preserving the quality and reliability that SK Pharma’s customers depend on.”

Frederik Günther, CEO of SK Pharma, commented: “We have a clear vision for SK Pharma’s next phase of growth and have found in Arcus a high-quality, long-term partner with the capabilities to help us realise that vision. Arcus has demonstrated a deep understanding of our business and confidence in our growth potential while sharing our commitment to maintaining the high operating standards that customers expect. SK Pharma has built its strong position in the market through many years of delivering reliable logistics solutions to our customers, ensuring medicines and other healthcare products reach hospitals and pharmacies safely and securely. We are looking forward to working with Arcus to build on the solid foundations our team has created.”

Arcus was advised by AT Kearney (Commercial), A&M (Financial, Tax, Technical, Operational, IT), Noerr (Legal) and Aon (Insurance).

The transaction is expected to complete in Q4 2026 subject to relevant regulatory clearances.
